1. What these Terms cover
These Terms of Service (the “Terms”) govern your access to and use of Submyt’s website and software platform (the “Service”). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
2. What Submyt provides (and does not provide)
2.1 The Service is software, not a tax agent service
Submyt provides software tools that help you:
- record and organise investment transactions,
- calculate capital gains and related figures based on the data you provide (including data you import and manually enter),
- generate outputs such as summaries and reports to support self-filing,
- provide general, informational guidance on how to complete a filing process.
2.2 Self-filing only. We do not file on your behalf
You are responsible for submitting any tax return, form, or filing to the Revenue Commissioners (including via ROS or any other channel), and for paying any tax due. Submyt does not:
- submit returns or forms on your behalf,
- make payments on your behalf,
- communicate with Revenue on your behalf,
- act as your agent, nominee, or authorised tax representative.
2.3 No tax advice
Submyt does not provide tax advice, financial advice, legal advice, or accounting advice. Any information, guidance, or examples we provide are:
- general in nature,
- provided for software and filing-assistance purposes only,
- not a substitute for advice tailored to your personal circumstances.
If you need advice, you should consult a qualified professional.
3. Outputs, accuracy, and your responsibility to review
3.1 You must review and validate all outputs
The Service generates outputs based on the information available to it. You must check all figures, classifications, and outputs before you use them for filing or decision-making.
3.2 Imports and third-party data are “best efforts”
Where the Service supports data imports (including broker CSV uploads, statements, or integrations), you acknowledge that:
- third-party formats and data can be incomplete, inconsistent, delayed, or incorrect,
- corporate actions, fees, FX rates, instrument identifiers, and transaction categorisation may require user review,
- import tools are provided on a best-efforts basis.
You are responsible for ensuring imported data is complete and correct.
3.3 Tax rules change
Tax law, Revenue guidance, and market data sources may change. The Service may not reflect changes immediately. You are responsible for verifying that your filing is compliant with current requirements at the time you file.
4. Account eligibility and security
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Service.
You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity under your account.
You must not share your account with other people. The Service is intended for individual, personal use unless we agree otherwise in writing.
5. Subscription, billing, and renewal
5.1 Plans and fees
Fees, plan features, and limits are described at checkout and/or on our website. VAT may apply.
5.2 Auto-renewal
Unless stated otherwise at checkout, subscriptions renew automatically at the end of each billing period. You can cancel auto-renewal through your account settings (or by contacting support if required). If you cancel, you typically retain access until the end of your paid period unless stated otherwise at checkout.
5.3 Price changes
We may change pricing, plan features, or plan structures from time to time. Any changes will apply prospectively. We will provide reasonable notice where required. We do not guarantee that any price will remain available indefinitely.
5.4 Grandfathered pricing
Fees are set for life (“grandfathered”). The price you pay on the date you first subscribe will remain the same for as long as you maintain an active, continuous subscription. If your subscription lapses or is cancelled for any reason, re-subscribing will be at the price available on the date you re-subscribe. We reserve the right to increase prices where unavoidable costs exceed the gross income from subscriptions, but we commit to avoiding this wherever possible.
5.5 Free plans
If you use the Service on a free plan, these Terms apply in full. Free plans are subject to feature and usage limits as described on our website. We may change or remove free plan availability at any time without notice.
6. Refund policy
Refunds are governed by our Refund Policy, which forms part of these Terms. If there is any conflict between these Terms and the Refund Policy, the Refund Policy will control for refund matters.
Unused-only rule (14 days)
If you purchase (or renew) a subscription online, you may request a refund within 14 days of the payment date only if you have not used the Service (as “use” is defined in the Refund Policy). If the Service has been used, no refund is available, except where required by law.
How to request a refund
To request a refund, email support@submyt.com with the email address on your account, the purchase (or renewal) date, and the reason for your request. We aim to respond within 5 business days. If approved, refunds are processed to the original payment method within 10 business days, depending on bank or payment provider processing times.
Effect of a refund
If a refund is issued, access to paid features will end (immediately or on a date we confirm to you). If you later re-subscribe, you will purchase at the prices and plans available at that time. We do not guarantee the availability of any previous pricing.
7. Acceptable use
You agree not to:
- misuse the Service or attempt to bypass limitations,
- reverse engineer, copy, scrape, or resell the Service,
- upload malicious code or attempt to interfere with security,
- use the Service in a way that violates applicable law.
We may suspend or terminate accounts that breach these Terms.
8. Intellectual property
The Service, including its software, interfaces, and underlying systems, is owned by Submyt or its licensors and is protected by intellectual property laws.
You receive a limited, non-exclusive, non-transferable licence to access and use the Service for your personal use during your subscription period, subject to these Terms.
9. Availability and changes to the Service
We aim to keep the Service available, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, outages, or third-party failures.
We may change, improve, remove, or add features at any time. Some features may be released gradually or only to certain users.
9.2 Removal or material reduction of features
If we remove or materially reduce a feature that is a core part of your current subscription plan, we will provide at least 30 days’ notice via email or in-app notification before the change takes effect. If the removal materially affects the value of your subscription and you are not satisfied, you may cancel your subscription before the change takes effect and receive a pro-rata refund for the remaining unused period of your current billing cycle. This does not limit our ability to make minor adjustments, bug fixes, or improvements to the Service without notice.
9.3 Force majeure
We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including (but not limited to) natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.
10. Limitation of liability
10.1 Important
The Service is provided to support self-filing, but you remain solely responsible for your tax affairs and filings.
10.2 Liability limits
To the maximum extent permitted by law:
- We are not liable for indirect or consequential losses (including loss of profits, loss of revenue, loss of data, loss of goodwill).
- We are not liable for losses arising from your failure to review outputs, incomplete or inaccurate data you provide, or errors/incompleteness in third-party data or imports.
10.3 Liability cap
To the maximum extent permitted by law, our total liability to you for all claims arising out of or relating to these Terms or the Service is limited to the amount you paid to us for the Service in the 12 months immediately before the event giving rise to the claim.
Nothing in these Terms limits liability where it cannot be limited by law (including for fraud).
11. Termination
You may stop using the Service at any time.
We may suspend or terminate your access if:
- you breach these Terms,
- we reasonably believe your account is being misused,
- we must do so to comply with law or protect the Service or other users.
11.2 Effect of termination on your data
On termination or expiry of your subscription, we will delete or anonymise personal data that is not subject to a legal or contractual retention requirement within 30 days. Data subject to a retention period under our Privacy Policy (such as billing records and account records) will be retained for the applicable period and then deleted or anonymised.
You may request earlier deletion of your personal data at any time by contacting support@submyt.com. We will comply with your request except where retention is required by law. For full details on retention periods, see Section 5 of our Privacy Policy.
12. Privacy and data protection
Our Privacy Policy explains how we collect and use personal data. By using the Service, you acknowledge our Privacy Policy.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Ireland.
13.1 Informal resolution
Before initiating any formal proceedings, you agree to contact us at support@submyt.com and attempt to resolve the dispute informally for at least 30 days.
13.2 Jurisdiction
If a dispute cannot be resolved informally, the courts of the Republic of Ireland have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
14. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will notify you by email and/or by a prominent notice within the Service at least 14 days before the changes take effect. Continued use of the Service after an update means you accept the updated Terms.
15. Third-party services
The Service may integrate with or rely on third-party services (including payment processors, data providers, and broker integrations). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.
16. Statutory rights
Nothing in these Terms affects your statutory rights as a consumer under applicable law, including the European Union (Consumer Rights) Directive 2011/83/EU as transposed into Irish law.
